By accessing or using Custodia CMMC 1 Suite ("the Service") operated by Custodia, LLC ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these Terms, you may not access the Service.

Custodia CMMC 1 Suite is a software-as-a-service platform designed to assist businesses in achieving and maintaining CMMC Level 1 compliance. The Service includes:

• AI-powered policy and document generation
• Evidence management and tracking
• Compliance monitoring and reporting tools

3. User Accounts

To use the Service, you must:

• Create an account using accurate and complete information
• Maintain the security of your account credentials
• Be at least 18 years of age
• Have the legal authority to bind your organization to these Terms

You are responsible for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account.

4. Subscription and Payment

The Service is offered on a monthly subscription basis. Current pricing is available on our pricing page. We reserve the right to modify pricing with 30 days' notice to existing subscribers.

4.2 Payment Terms

• Understand that subscriptions automatically renew unless cancelled

4.3 Refunds

You agree not to:

6. Intellectual Property

The Service and its original content, features, and functionality are owned by Custodia, LLC and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

You retain ownership of all data and content you upload to the Service. By using the Service, you grant us a limited license to use, store, and process your data solely for the purpose of providing the Service.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CUSTODIA, LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRIOR TO THE CLAIM.

9. Indemnification

You agree to indemnify and hold harmless Custodia, LLC, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising out of or relating to your use of the Service, violation of these Terms, or infringement of any rights of another.

10. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties.

You may cancel your subscription at any time through your account settings. Upon cancellation, your access will continue until the end of your billing period.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Pennsylvania.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes via email or through the Service. Your continued use of the Service after such modifications constitutes acceptance of the updated Terms.
